These Wholesale Trading Terms and Conditions apply to all sales of FunJobs Homewares products by Hardie Products Pty Ltd (‘Supplier’) to the wholesale customer (‘Customer’).
1. Orders
1.1 All orders are subject to acceptance by Hardie Products Pty Ltd.
1.2 Minimum order quantities may apply.
1.3 Orders cannot be cancelled once production or dispatch has commenced without written consent.
2. Pricing
2.1 All prices are quoted in AUD.
2.2 Prices are exclusive of GST unless otherwise stated.
2.3 Prices may change without notice; accepted orders will be supplied at the agreed price.
3. Payment Terms
3.1 Approved wholesale customers are granted 30-day trading terms (Net 30) from the date of invoice.
3.2 Payment must be made by EFT unless otherwise agreed in writing.
3.3 Hardie Products Pty Ltd reserves the right to withdraw or amend credit facilities at any time.
4. Late Payment
4.1 Overdue accounts may incur interest at 10% per annum, calculated daily.
4.2 Hardie Products Pty Ltd may suspend further deliveries while any account remains overdue.
4.3 The Customer agrees to pay all reasonable recovery costs, including legal and debt collection costs.
5. Retention of Title
Ownership of all goods remains with Hardie Products Pty Ltd until all invoices are paid in full. Goods must remain identifiable and may be recovered if payment is overdue.
6. Delivery
Delivery dates are estimates only. Risk passes on delivery. Freight is payable by the Customer unless otherwise agreed.
7. Inspection and Claims
Claims for shortages, damage or manufacturing defects must be made in writing within 7 days of delivery.
8. Returns
Returns require prior written approval and must be in original saleable condition. Custom products cannot be returned except as required by Australian Consumer Law.
9. Australian Consumer Law
Nothing in these Terms excludes rights under the Australian Consumer Law.
10. Intellectual Property
All FunJobs Homewares intellectual property remains the exclusive property of Hardie Products Pty Ltd. Customers must not copy, reproduce, manufacture similar products, alter branding, or use trademarks without written permission.
11. Confidentiality
Wholesale pricing, product information and commercial arrangements must remain confidential.
12. Online Sales
Customers may only sell genuine FunJobs Homewares products and must not advertise or sell counterfeit or imitation products.
13. Limitation of Liability
Liability is limited to replacement of the goods or refund of the purchase price, to the extent permitted by law.
14. Force Majeure
Hardie Products Pty Ltd is not liable for delays caused by events beyond its reasonable control.
15. Governing Law
These Terms are governed by the laws of Western Australia.
16. Acceptance
By placing an order with Hardie Products Pty Ltd, the Customer acknowledges acceptance of these Terms and Conditions.
